Senior Legal Counsel
Job Description
As the Senior Legal Counsel, you will help oversee legal matters pertaining to corporate exercises, financing matters, governance advisory as well as technology and new businesses. You are expected to work independently and closely with stakeholders and colleagues from other departments to drive projects to a timely conclusion whilst ensuring the best outcome for the company. Being adept at working with a blank sheet, project ahead and craft solutions is a must.
Responsibilities
- Advisory in corporate financing, mergers & acquisitions and joint ventures transactions (including drafting, negotiation and finalizing transaction documents).
- Manage project related corporate exercises, including strategizing and collaborating with relevant stakeholders to ensure adequate advice and recommendations on legal matters.
- Providing advice and devising solutions for matters pertaining to Companies Act, MMLR, CMSA, etc.
- Draft, structure and negotiate legal documents and agreements on areas of technology, corporate and enterprise whilst assessing the legal risks to ensure CelcomDigi’s interests are duly protected.
- Provide timely and practical legal advice, research, and analysis on a wide range of corporate and business matters, offering clear recommendations and actionable solutions.
- Foster strong working relationships with internal stakeholders and external partners, ensuring effective collaboration while maintaining the highest level of professional integrity and confidentiality.
- Ensure all legal requests and matters raised by business units are addressed promptly, accurately, and with sound judgment.
- Liaise with external solicitors and legal advisors as and when required and monitor the performance of external advisers to ensure high quality of services are provided.
- Assist and ensure compliance of the latest regulations and laws in the provision of the legal advice and service to stakeholders to ensure that all legal advice is current and legal provisions are updated.
Requirements
- Bachelor’s Degree of Law/LLB
- Has at least 10-13 years post qualification experience.
- Admitted as advocate & solicitor of the High Court of Malaya.
- Exposure in handling technology-related legal matters (and eager to learn up on new technology)
- Highly competent in contract drafting, especially bespoke contracts
- Well-versed with Companies Act, MMLR and CMSA.
- Intrinsically motivated, intellectually curious and open to changes
- Experienced in corporate matters (including having worked on acquisitions, joint ventures and financing matters)
